General terms of sale.

1. Scope and customers

Sale exclusively to licensed healthcare professionals and to clinics with a clinical lead, in Portugal and Spain, after licence verification. No consumer right of withdrawal applies.

2. Order and pro forma

An order is a request. Orvida confirms stock and issues a pro forma; the contract is formed on acceptance of the pro forma. Manifest pricing errors are corrected before confirmation.

3. Prices and VAT

Prices excluding VAT, in euros, per the current list and quantity tiers. VAT at the legal rate in Portugal; reverse charge for customers in Spain with a valid VAT number.

4. Payment

Prepayment by bank transfer, unless agreed in writing. Dispatch after cleared funds. Bank charges are borne by the customer.

5. Delivery and risk

Delivery to the clinic address given at registration. Risk passes on delivery. Unattended deliveries at the customer's instruction are at their own risk. Minimum shelf life on delivery: 6 months.

6. Returns

Sterile devices are not returned once dispatched, except for defects or dispatch errors reported within 48 hours with the lot number. Replacement or credit note, no cash refund.

7. Use and liability

The customer is responsible for use in accordance with the instructions for use and for the clinical decision. Off-label use is the professional's sole responsibility. Orvida's liability is limited to the invoice value.

8. Traceability and vigilance

The customer keeps a lot record per patient and answers traceability requests within 5 days. Adverse events are reported to vigilance@orvida.eu. Recalls: replacement or credit.

9. Prohibitions

No resale, export, online sale to third parties or relabelling without written agreement.

10. Law and jurisdiction

Portuguese law. Courts of Lisbon. Communications by email. Regulatory changes and force majeure suspend obligations for up to 60 days.
