1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the ORVIDA website (orvida.eu) and the purchase of products from ORVIDA — a trade name of Orquideas Etereas, Unipessoal LDA, a Portuguese limited liability company with registered office in Lisbon. By creating an account, placing an order or otherwise using our services, you confirm that you have read, understood and agreed to these Terms.
If you do not accept these Terms, you must not use the site or purchase products from us. These Terms form a binding contract between you (the "Customer") and Orquideas Etereas, Unipessoal LDA ("ORVIDA", "we", "us", "our").
2. Who Can Use ORVIDA
ORVIDA operates exclusively on a business-to-business basis. Our products are prescription-only medical devices and are supplied only to:
- Licensed medical doctors, dermatologists, plastic and aesthetic surgeons registered with the Ordem dos Médicos (Portugal), the Colegio Oficial de Médicos (Spain), or an equivalent EU/EEA regulator.
- Aesthetic medical clinics and hospitals operating under a valid operating licence in Portugal or Spain.
- Authorised resellers that hold a medical device distribution licence under EU MDR 2017/745.
By creating an account you represent and warrant that you fall within one of these categories, that you are at least 18 years of age, that you have authority to bind your organisation to these Terms, and that you will use the products only within the scope of your own licensure and the applicable clinical regulations.
3. Account Verification
We are required under MDR 2017/745 and our ISO 13485 distribution controls to verify every buyer before releasing products. During registration or first order, you must provide:
- Full legal business name, VAT number (NIF/NIPC) and trading address.
- Medical licence number and a copy of the current certificate, or equivalent proof of clinic registration.
- The identity of the professional responsible for receiving and using the products.
We may decline to open an account or refuse an order if credentials cannot be verified to our reasonable satisfaction. Credentials are reviewed periodically; you must notify us of any change in your licence status or scope of practice.
4. Product Information
We strive to present accurate product descriptions, volumes, indications and shelf-life information on orvida.eu. Nonetheless, the manufacturer's Instructions for Use (IFU) packaged with each unit is the definitive source of safety and usage information. In the event of any conflict, the IFU prevails. Photographs are illustrative; actual packaging may vary as the manufacturer updates labelling.
We are not the manufacturer. We do not alter products. We supply devices as placed on the EU market by Hangzhou Techderm Biological Products Co., Ltd., CE-marked and accompanied by the required labelling.
5. Ordering and Acceptance
An order placed through the site or by email is an offer by you to purchase. Your offer is accepted when we issue an order confirmation or the corresponding invoice. Until that point we may decline or cancel, in which case any payment made will be refunded in full.
Reasons we may refuse an order include: credentials pending verification, stock unavailability, pricing error, cold-chain window risk, or an address we cannot service.
Order cancellations by the Customer must reach us before we release the parcel to the carrier. Once a cold-chain parcel has left our warehouse, the return rules in section 10 apply.
6. Pricing and VAT
All prices on orvida.eu are in Euros (EUR) and are displayed excluding VAT. Portuguese and Spanish VAT is added at the statutory rate on the invoice. Intra-community reverse-charge applies to verified EU businesses with a valid VAT number outside Portugal.
Professional tier pricing (volume discounts, credit-account pricing) is shown only to verified accounts. List prices may be updated without notice; the price applicable to your order is the price in force at the moment of order acceptance (invoice issue).
7. Payment Terms
We accept:
- Bank transfer (SEPA) to our Revolut business account.
- Card and PayPal payments processed by Stripe Payments Europe Ltd.
- MB Way (Portuguese mobile payments).
Default payment terms are NET 0 (payment on invoice). Verified customers may apply for a credit account with NET 30 terms, subject to a credit assessment and a signed credit agreement. Late payments accrue statutory commercial interest under Portuguese Decreto-Lei 62/2013.
Title in the goods passes to the Customer only on full payment; risk transfers on delivery (section 8).
8. Shipping and Delivery
We ship to mainland Portugal, Madeira, the Azores and mainland Spain. For Canary Islands, Ceuta, Melilla and other destinations please contact us before ordering.
Hyaluronic acid fillers and skin boosters are temperature-sensitive and are shipped in insulated packaging with temperature indicators where required. Typical transit time is 2–5 business days from order confirmation.
Risk of loss or damage transfers to the Customer on delivery to the address you provided. If a parcel arrives visibly damaged, refuse delivery or note the damage on the carrier's document and notify us within 48 hours with photographs of the outer packaging and the temperature indicator.
Delivery dates are estimates. We are not liable for delays caused by carriers, customs, force majeure, or an incorrect address supplied by the Customer.
9. Returns
Medical devices shipped under cold-chain conditions are not returnable for change-of-mind. We will accept a return only in the following cases:
- Product arrived defective, damaged, or with a compromised cold chain — reported within 48 hours of delivery with photographs.
- Product does not match what was ordered (wrong SKU or volume shipped).
- Product recalled by the manufacturer or by regulatory authority.
In each case we will arrange a collection or an exchange at our cost and may require the product to be held in refrigeration pending inspection. We do not accept returns on opened units, partially used syringes, or products whose chain of custody we cannot verify.
10. Warranty and Defects
We pass through the manufacturer's product warranty. Every Sofiderm-branded device is warranted against manufacturing defects until its labelled expiry date when stored and transported under the conditions specified in the IFU. Defective units are replaced at no charge after inspection.
To the fullest extent permitted by law, ORVIDA gives no further express or implied warranty. This clause does not affect any mandatory statutory rights the Customer has as a business purchaser under Portuguese or Spanish law.
11. Intended Use and Practitioner Responsibility
Sofiderm products are intended for administration by licensed aesthetic practitioners following the manufacturer's IFU. By placing an order you represent that:
- You and any professional who will use the products hold the licences required to administer injectable medical devices in the jurisdiction of use.
- You will read and follow the IFU, including indications, contraindications, warnings, injection technique and adverse-event reporting.
- You will obtain appropriate informed consent from your patients.
- You will store, handle and dispose of the products in line with the IFU and applicable medical waste regulations.
ORVIDA does not provide medical advice. Clinical decisions are the sole responsibility of the treating practitioner.
12. Adverse Event Reporting
Under EU MDR 2017/745 you must report any serious incident or suspected serious incident involving a Sofiderm device. We expect you to:
- Notify us at info@orvida.eu within 48 hours with subject "MDR vigilance".
- Notify the competent authority in your country (INFARMED in Portugal, AEMPS in Spain) as required by law.
- Retain the affected unit and packaging for investigation by the manufacturer.
We will forward the report to the manufacturer, cooperate in the investigation and, where relevant, issue Field Safety Notices.
13. Limitation of Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.
Subject to the foregoing, ORVIDA's total aggregate liability arising out of or in connection with any order, whether in contract, tort (including negligence) or otherwise, is limited to the price paid for the specific product giving rise to the claim. ORVIDA is not liable for indirect or consequential loss, loss of profits, loss of reputation, loss of patients or clinical-outcome claims against the Customer.
14. Indemnification
You agree to indemnify and hold ORVIDA harmless against any third-party claim, liability, loss or expense (including reasonable legal fees) arising from: (i) your misuse of the products or breach of the IFU; (ii) your breach of applicable professional regulations; (iii) your breach of these Terms; or (iv) any claim by your patients relating to the clinical outcome of a treatment you administered.
15. Force Majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, pandemics, transportation disruption, port congestion, war, terrorism, labour disputes, regulatory action, or failure of utilities or telecommunications. The affected party will give prompt notice and perform as soon as the event is resolved.
16. Intellectual Property
"ORVIDA" and associated logos are trade marks of Orquideas Etereas, Unipessoal LDA. "Sofiderm" and product trade names are trade marks of Hangzhou Techderm Biological Products Co., Ltd. All content on orvida.eu — including copy, imagery, product photography, graphics and underlying code — is protected by copyright and related rights. You may not copy, reproduce or redistribute any part of the site without our prior written consent, except for ordinary viewing of pages you are entitled to access.
17. Governing Law
These Terms and any non-contractual obligations arising from them are governed by the laws of the Portuguese Republic, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
18. Jurisdiction
Any dispute that the parties cannot resolve amicably will be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal. Nothing in this clause prevents ORVIDA from seeking injunctive relief in any competent court to protect its intellectual property or enforce payment obligations.
19. Changes to the Terms
We may update these Terms to reflect legal, regulatory or commercial changes. The revised Terms come into force on the date posted on this page. For material changes we will notify registered customers by email at least 15 days in advance. Continued use of the site or placement of a new order constitutes acceptance of the updated Terms.
